Terms of Service

1. Who can use SoleSync

You must be legally able to enter contracts where you live. If you're signing up on behalf of a business, you represent that you have authority to bind that business to these Terms. If you're a minor, please make sure a parent or guardian agrees to these Terms before you sign up.

2. Your account

You're responsible for keeping your login credentials secure. You're responsible for all activity that happens under your account. Notify us immediately if you suspect unauthorized access.

Each store on SoleSync is operated by the user who created it (the "Store Operator"). The Store Operator is responsible for everything entered or generated inside that store, including inventory data, customer information, sales records, and compliance with the laws that apply to their resale business.

3. What SoleSync does

SoleSync is an inventory and operations platform for resellers. The Service helps you:

• Track inventory across warehouses, locations, and consignors
• Record sales (in-store, Shopify, and other channels you connect)
• Manage consignment intake, payouts, and reporting
• Use the SoleSync AI Assistant to query and edit your store data via natural language
• Sync products and orders with connected commerce platforms (e.g. Shopify)

4. The AI Assistant

The AI Assistant lets you read and modify your store's data using natural language. Outputs are generated by large language models and may occasionally be inaccurate. Before confirming any destructive action (deleting, refunding, marking as damaged, transferring inventory, etc.), the AI presents a summary and waits for your explicit confirmation. You are responsible for reviewing those summaries before approving them.

Your AI conversations and the data the AI accesses are scoped to your store only. We do not use your store data to train third-party models.

5. Acceptable use

You agree not to:

• Use the Service to sell stolen, counterfeit, or unlawfully obtained goods
• Upload data you don't have rights to (e.g. customer lists from another tenant)
• Attempt to access another store's data, accounts, or infrastructure
• Reverse-engineer, scrape, or stress-test the Service in a way that disrupts other users
• Use the Service to send spam, phishing emails, or abusive communications to your customers or consignors

6. Subscriptions, fees, and refunds

SoleSync is in beta. Pricing and plan details may change before general availability. If you're on a paid plan, fees are billed in advance and are non-refundable except where required by law. We'll give you reasonable notice before any pricing change applies to an existing subscription.

7. Your data

You own the data you put into SoleSync. We process it on your behalf to provide the Service. See our Privacy Policy for what we collect and how we use it.

You can export your store data at any time from the Settings page. If you cancel your account, we retain your data for up to 30 days so you can re-activate, then delete it.

8. Third-party integrations

When you connect a third-party service (Shopify, etc.), you authorize us to exchange data with that service on your behalf, subject to that service's own terms. We're not responsible for outages, data loss, or policy changes on third-party platforms.

9. Service availability

We aim for high uptime but don't guarantee uninterrupted service. We may perform maintenance, deploy updates, or rate-limit abusive traffic without notice. If we introduce a material breaking change, we'll do our best to give advance notice.

10. Termination

You can cancel your account from Settings at any time. We can suspend or terminate accounts that violate these Terms, are used for fraud, or expose other users to risk — with notice where reasonable, immediately where the conduct is severe.

11. Disclaimers

The Service is provided "as is" without warranty of any kind. We don't warrant that the Service will be error-free, that AI outputs will be accurate, or that the Service will fit any specific purpose. You are solely responsible for the business decisions you make using SoleSync.

12. Limitation of liability

To the fullest extent permitted by law, SoleSync's total liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the twelve months immediately before the event giving rise to the claim. We aren't liable for indirect, incidental, consequential, or lost-profit damages.

13. Changes to these Terms

We may update these Terms from time to time. If a change is material, we'll notify you by email or in-app banner before it takes effect. Continued use of the Service after a change means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New York County, New York.
